Terms of Service

1. Acceptance of Terms

By downloading, installing, or using SwiftCode Respond, SwiftCode Command, or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services. These Terms constitute a legally binding agreement between you and SwiftCode, Inc. (“SwiftCode,” “we,” “our,” or “us”). We reserve the right to update these Terms at any time, and continued use after changes are posted constitutes acceptance.

2. Description of Service

SwiftCode is a clinical communication and emergency response platform designed for healthcare facilities. The Services provide:

  • Real-time emergency alert triggering and code activation
  • Automated staff dispatch and response coordination
  • Incident management with acknowledgment, escalation, and resolution workflows
  • Secure messaging between clinical staff during incidents
  • Push notifications and SMS fallback for time-critical alerts
  • Post-incident reporting, feedback, and audit trails

Important

SwiftCode is a communication and coordination tool. It does not replace clinical judgment, emergency medical services (911), or your facility's existing emergency protocols. Always follow your organization's policies and procedures.

3. Authorized Use

The Services are intended for use by authorized healthcare facility staff. Access is provisioned by your facility administrator. You agree to:

  • Use the Services only for their intended clinical communication purpose
  • Use the Services in accordance with all applicable laws, regulations, and your facility's policies
  • Keep your login credentials confidential and not share your account
  • Not transmit Protected Health Information (PHI) through the messaging features unless authorized by your facility
  • Not modify, reverse-engineer, decompile, or disassemble the software
  • Report any security vulnerabilities or unauthorized access immediately

4. Clinical Disclaimer

  • Not a Replacement for Emergency Services: SwiftCode facilitates internal facility communication. It does not replace 911, emergency medical services, or external emergency systems.
  • Not Medical Advice: The Services do not provide medical advice, diagnoses, or treatment recommendations.
  • Clinical Judgment: Response decisions during incidents remain the responsibility of clinical staff and supervisors. SwiftCode is a coordination tool, not a decision-making system.
  • Connectivity Required: The Services require an active network connection. SwiftCode is not responsible for missed alerts due to network outages, device settings, or other connectivity issues.

5. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge that incident data, dispatch records, messages, and audit logs are stored on our servers for the purpose of providing the Services and maintaining compliance records for your facility.

6. Intellectual Property

The Services, including all software, content, features, and design, are the exclusive property of SwiftCode, Inc. and are protected by intellectual property laws. Your facility is granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose during the term of your subscription.

7. Subscription and Payment

Access to the Services requires a facility subscription. Subscription terms, pricing, and billing cycles are established in your facility's service agreement. Individual staff members access the Services through their facility's subscription and are not individually billed.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice to facility administrators. We are not liable for service interruptions caused by factors outside our control, including network outages, device failures, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by law, SwiftCode shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the Services. SwiftCode's total liability shall not exceed the amount paid by your facility in the twelve months preceding the claim. SwiftCode is not liable for clinical outcomes, response times, or decisions made by staff using the platform.

10. Indemnification

You and your facility agree to indemnify and hold harmless SwiftCode from claims arising from your use of the Services, violation of these Terms, or violation of any third-party rights.

11. Termination

We may suspend or terminate access if you breach these Terms. Your facility may terminate the subscription per the service agreement. Upon termination, your right to use the Services ceases immediately. Data retention after termination is governed by the service agreement and applicable regulations.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts in Delaware.
